Employment Contract



This Agreement is made on the 1st day of April 2002 between Mr. panda (hereinafter referred to as "Mr. panda ") and panda MANAGMENT CONSULTANCY LIMITED (hereinafter referred to as " panda " or "the Company"). The parties hereby agree as follows:



1.       Employment Period

Mr. Panda agrees to accept employment with Panda as its Managing Director, valid from April 1, 2002, to March 31, 2003 (the "End Date"). Either party may terminate this contract by providing at least one month’s prior notice before the End Date; otherwise, the contract shall automatically renew until terminated by either party with one month’s notice.



2.       Termination

This contract shall expire on the End Date. However, if terminated before the End Date, Pandao shall compensate Mr. Panda for all "accrued salary" (calculated from the termination date to the End Date).



3.       Responsibilities

According to the reasonable requirements of the company, Mr. Panda will try his best to work for the company and its group companies in Hong Kong, Chinese Mainland or other places.

4.       Reporting

Mr. Panda shall report to Mr. Xu cat, the President of the Company, and Mr. Xu cat, the Managing Director, and shall provide information and reports as necessary.



5.       Salary and Bonus



Salary



For the first year of employment (i.e., from April 1, 2002, to March 31, 2003), Panda shall pay Mr. Panda an annual salary of HKD 1.44 million, payable in monthly installments of HKD 120,000.



Bonus

Mr. Panda’s year-end bonus shall be determined based on the recommendation of the Company’s President and subject to approval by the Board of Directors.



6.       Employee Stock Option Plan

During the term of this contract, Mr. Panda shall be eligible to participate in the Company’s Employee Stock Option Plan.



7.       Medical Insurance Benefits

During the term of this contract, Panda agrees to provide comprehensive hospitalization and medical insurance coverage for Mr. Panda and his family.



8.       Annual Leave

In addition to statutory holidays, Mr. Panda shall be entitled to 20 working days of fully paid annual leave per year.



9.       Sick Leave

If Mr. Panda is unable to work due to illness, his salary shall be paid in accordance with local laws.



10.   Mandatory Provident Fund (MPF)

Panda shall make the required contributions to the Hong Kong Mandatory Provident Fund on behalf of Mr. Panda as stipulated by the Hong Kong SAR government.



11.   Other Matters

Mr. Panda’s current external appointments (e.g., directorships or other roles) are listed in the Appendix, and any related income shall be remitted in full to the Company. Should Mr. Panda wish to take on additional external roles in the future, he must first obtain the Company’s consent.



12.   Governing Law

This contract shall be governed by and construed in accordance with the laws of Hong Kong.



This Agreement is executed by the parties on the 1st day of April 2002 in the presence of witnesses.
